Terms of Service

1. Parties

These Terms govern your use of the services provided by Fortis-Solutions Ltd ("Fortis", "we", "us"), a company registered in England & Wales, company number 16934389, registered office 167-169 Great Portland Street, London W1W 5PF.

2. What we provide

Fortis provides a paid platform audit and bespoke software builds for gym, studio and fitness operators. The audit is a paid diagnostic of your current platform, delivered with a written report. Any build is provided under a separate written quote.

3. The audit

• The audit fee is £500. If you proceed to a build, the fee is credited in full toward that build.
• The written report is yours to keep, whether or not you proceed.
• The audit is advisory. Estimates and figures in the report are good-faith assessments based on the information you provide, not guarantees of outcome.

4. Acceptance

By submitting an enquiry, accepting a quote, or otherwise engaging us, you agree to these Terms. If you accept on behalf of a company, you warrant that you have authority to bind it.

5. Builds, billing and term

• Build work is provided under a fixed written quote agreed before work starts.
• Fees are exclusive of VAT, which is added where applicable.
• Any ongoing support or hosting is billed as set out in your quote.

6. Acceptable use

You agree not to use our services for unlawful purposes, to reverse-engineer or extract source code, to transmit malicious code, or to resell the service without written agreement.

7. Your data and ownership

You retain ownership of all data you provide. For builds, you own your platform and your accounts; we are never the sole holder of your members' funds or data. Our processing of personal data is set out in our Privacy Notice.

8. Migration

Where we build you a platform, we migrate your data from your previous system at the price set in your quote, subject to that system's export capabilities. You authorise us to import your data on your written instruction.

9. Intellectual property

Rights in our own tools, templates and trademarks remain with Fortis-Solutions Ltd. On full payment for a build, you receive the agreed licence and ownership set out in your quote.

10. Warranties and liability

We provide our services with reasonable skill and care. To the maximum extent permitted by law: we exclude implied warranties of merchantability and fitness for purpose; our total liability for any claim is capped at the fees you paid us in the 12 months before the claim; and neither party is liable for indirect or consequential loss. Nothing limits liability for death or personal injury caused by negligence, or for fraud.

11. Governing law

These Terms are governed by the laws of England & Wales, whose courts have exclusive jurisdiction.
